Terms of Service

These Terms of Service (the "Terms") are a binding agreement between Linknesis ("Linknesis", "we", "us", or "our") and the individual or entity that downloads, installs, or uses the Software or the Services ("you" or the "Customer"). By creating an account, running an installer, activating a license, or otherwise using the Software or the Services, you accept these Terms. If you do not agree, do not install or use them.

1. Definitions

  • "Software" means the Linknesis self-hosted network monitoring software, consisting of the server component (the "Core") and the agent component (the "Probe"), together with installers, updates, and Documentation.
  • "Services" means the online services that we operate to support the Software: this website, the customer panel at panel.linknesis.com (the "Panel"), the license validation service, and the software update and download infrastructure.
  • "Subscription" means the plan you select in the Panel (including the Free plan), which determines your license limits (such as the maximum number of Probes).
  • "License Token" means the credential issued through the Panel that activates and validates your Subscription on a single Core installation.
  • "Documentation" means the official documentation published at docs.linknesis.com.
  • "Customer Data" means all data created, collected, stored, or processed by your self-hosted installation of the Software, including test configurations, measurement results, probe metadata, logs, and credentials.

2. The self-hosted model

Linknesis is self-hosted software, not a hosted service. You download the Software and run it on infrastructure that you own or control. In particular:

  • The Core, its database, and all Customer Data reside exclusively on your systems. We do not host, receive, access, or back up your Customer Data.
  • You are the operator of your installation. You are solely responsible for provisioning, securing, maintaining, monitoring, and backing up the servers and networks on which you run the Software.
  • The Services we operate are limited to account management, subscription billing, license validation, and software distribution, as described in these Terms and in our Privacy Policy.

3. Eligibility and accounts

The Software and the Services are intended for professional and business use. You must be at least 18 years old and, if you act on behalf of an organization, you represent that you are authorized to bind it to these Terms. You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your Panel credentials, your License Tokens, and the administrator credentials of your self-hosted installation, and for all activity that occurs under them. Notify us promptly at legal@linknesis.com if you suspect unauthorized use of your account.

4. License grant

Subject to these Terms and payment of the applicable fees, Linknesis grants you a limited, non-exclusive, non-transferable, non-sublicensable license, for the duration of your Subscription, to install and use the Software on infrastructure you own or control, solely for your internal business purposes (including monitoring networks of your own clients where you are authorized to do so), and within the limits of your Subscription plan (including the maximum number of connected Probes).

Each License Token activates one Core installation at a time. The Software is licensed, not sold. We reserve all rights not expressly granted.

5. License restrictions

Except to the extent expressly permitted by these Terms or by mandatory applicable law (including Articles 5 and 6 of Directive 2009/24/EC regarding interoperability), you may not:

  • copy (other than for reasonable backup), modify, adapt, translate, or create derivative works of the Software;
  • reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code;
  • rent, lease, lend, sell, resell, sublicense, distribute, or otherwise make the Software available to third parties as a standalone product or as a competing service;
  • remove, alter, or obscure any proprietary notices in the Software;
  • circumvent, disable, or interfere with the license validation, probe limits, or other technical restrictions of the Software; or
  • use the Software to develop a competing product.

6. License validation, updates, and telemetry

You acknowledge and agree that the Software communicates with our infrastructure for the following limited purposes:

  • License validation: the Core periodically contacts our license service to validate your License Token. This transmits the token, a randomly generated installation identifier, the Software version, and your server's IP address. If our license service is temporarily unreachable, a previously valid license continues to operate for a grace period.
  • Updates: the Software checks our update servers for new versions and can download and apply updates automatically. You can disable automatic updates or select an update channel in the settings; you are responsible for the consequences of running outdated versions. Pre-release ("beta") channel builds are provided for evaluation and may be less stable.

The Software does not transmit your Customer Data (test results, probe data, configurations, or credentials) to us. Details of the data processed by these mechanisms are described in the Privacy Policy.

7. Acceptable use

The Software performs active network measurements (including throughput tests and route tracing) that generate real traffic toward the targets you configure. You agree that you will:

  • run tests only against networks, systems, and endpoints that you own, or for which you have obtained the explicit authorization of the owner or operator (including your clients' networks where you deploy Probes);
  • not use the Software or the Services to perform denial-of-service attacks, unauthorized scanning or probing, interception of third-party traffic, or any other unlawful or abusive activity;
  • configure bandwidth, frequency, and concurrency of tests responsibly so as not to disrupt networks you are authorized to test or intermediate networks;
  • comply with all laws applicable to your use of the Software, including computer misuse, telecommunications, data protection, and export control laws;
  • not attempt to gain unauthorized access to the Services, other customers' accounts, or our infrastructure, and not interfere with the operation of the Services.

You are solely responsible for the tests you run and the targets you select. We may suspend or terminate access to the Services if we reasonably believe your use violates this section or applicable law.

8. Your responsibilities as operator

Because the Software runs on your infrastructure, you are solely responsible for:

  • the security and hardening of the servers, operating systems, networks, and firewalls on which you run the Core and Probes;
  • managing access to your installation, including administrator passwords, API tokens, webhook endpoints, and public share links you create;
  • backing up your Customer Data and configuring retention settings appropriate for your organization — we cannot restore data from a self-hosted installation;
  • complying with data protection law as the controller of any personal data your installation processes (see Section 15);
  • obtaining any consents or authorizations required to deploy Probes on systems or networks belonging to third parties, including your clients; and
  • your use of optional third-party integrations you configure (see Section 9).

9. Third-party software and services

The Software is distributed with, or relies on, third-party components (for example iperf3, MongoDB, Nginx, and Certbot) that are licensed under their own terms. Applicable notices are provided in the LICENSE-THIRD-PARTY.txt file distributed with the Software. These Terms do not limit any rights you have under those third-party licenses, and we make no warranty on behalf of third-party components.

The Software optionally lets you configure integrations with third-party services using your own accounts and API keys — for example AI providers (for the AI Test Analyzer), MaxMind (for geolocation), Let's Encrypt (for certificates), and your own webhook endpoints. When you enable such an integration, data is exchanged directly between your installation and that provider under the provider's own terms and privacy policy; Linknesis is not a party to that exchange and is not responsible for those services, their availability, or their output (including AI-generated analysis, which may be inaccurate and must be reviewed before being relied upon).

10. Subscriptions, fees, and payment

  • Plans. Paid Subscriptions are billed in advance on a monthly or yearly basis according to the plan and pricing displayed at the time of purchase. Applicable taxes (such as VAT) are added where required.
  • Renewal and cancellation. Subscriptions renew automatically for successive periods equal to the initial period unless you cancel through the Panel before the renewal date. Cancellation takes effect at the end of the current billing period; you retain access to your paid plan limits until then.
  • Refunds. Except where required by mandatory law or expressly stated otherwise, fees are non-refundable and periods already started are not credited.
  • Non-payment. If fees are not paid when due, we may, after notice, downgrade your Subscription or suspend license validation until payment is received.
  • Price changes. We may change prices with at least 30 days' notice; changes apply from your next renewal. If you do not agree, you may cancel before the renewal takes effect.
  • Free plan. The Free plan is provided without charge, for the limits published on our pricing page. We may modify or discontinue the Free plan with reasonable notice.
  • Consumers. The Services are aimed at businesses. If you nevertheless purchase as a consumer, your mandatory statutory rights (including any right of withdrawal under EU consumer law) remain unaffected by these Terms.

11. Support and availability

Unless otherwise agreed in a separate written agreement, support is provided on a reasonable-effort basis by email and through the Documentation, without guaranteed response times. The Services (Panel, license validation, update servers) are provided without an uptime commitment; we may perform maintenance at any time. The Software is designed so that temporary unavailability of our Services does not interrupt a validly licensed installation (see Section 6).

12. Intellectual property and feedback

Linknesis and its licensors retain all right, title, and interest in and to the Software, the Services, and all associated intellectual property, including trademarks, logos, and documentation. You retain all rights in your Customer Data. If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or obligation to you.

13. Term, suspension, and termination

These Terms apply for as long as you use the Software or the Services. We may suspend or terminate your account and/or invalidate your License Tokens, with notice where practicable, if you materially breach these Terms (including the license restrictions or the acceptable use policy) and, where the breach is curable, fail to cure it within a reasonable period after notice. You may terminate at any time by cancelling your Subscription and ceasing to use the Software.

Upon termination or expiration of your Subscription: (a) the license granted in Section 4 ends and the Software will stop accepting Probe connections beyond any applicable grace period; (b) your Customer Data remains on your own systems and under your control — we hold no copy of it; and (c) sections which by their nature should survive (including Sections 5, 12, 14, 16, 17, and 19) survive termination.

14. Warranty disclaimer

To the maximum extent permitted by applicable law, the Software and the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy of measurements, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or secure, or that measurement results will be accurate or suitable for any particular decision. Network measurements are inherently affected by factors outside our control. Nothing in this section limits warranties that cannot be disclaimed under applicable law.

15. Data protection

Our processing of personal data in connection with the Services (such as your account, billing, and license validation data) is described in the Privacy Policy.

For personal data processed inside your self-hosted installation (for example IP addresses, hostnames, and network metadata of the systems you monitor), you are the data controller. Because we have no access to your installation or your Customer Data, we act neither as controller nor as processor for that data. You are responsible for having a lawful basis for that processing, informing data subjects where required, and configuring retention and access controls appropriately.

16. Limitation of liability

To the maximum extent permitted by applicable law:

  • neither party is liable for indirect or consequential damages, loss of profits, revenue, business, goodwill, or data (including Customer Data lost from your own systems), even if advised of the possibility of such damages;
  • our total aggregate liability arising out of or relating to the Software, the Services, or these Terms is limited to the amounts you paid us in the twelve (12) months preceding the event giving rise to the claim (or, for Free plan users, one hundred (100) euros).

Nothing in these Terms excludes or limits either party's liability for wilful misconduct or gross negligence, for death or personal injury caused by its negligence, for fraud, or for any other liability that cannot be excluded or limited under applicable law. If you are a consumer, these limitations apply only to the extent permitted by the mandatory law of your country of residence.

17. Indemnification

If you are a business, you will defend and indemnify Linknesis and its officers, employees, and agents against third-party claims, damages, and reasonable costs (including legal fees) arising from: (a) your use of the Software in violation of Section 7 (acceptable use), including tests run against networks without authorization; (b) your Customer Data; or (c) your breach of these Terms — except to the extent the claim results from our own breach or fault.

18. Export control and sanctions

You may not use, export, or re-export the Software in violation of applicable export control or sanctions laws, and you represent that you are not located in, or acting on behalf of a party in, a jurisdiction or on a list subject to such restrictions where this would prohibit your use of the Software.

19. Governing law and jurisdiction

These Terms are governed by the laws of the jurisdiction in which the Linknesis operating entity is established, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The identity and place of establishment of the operating entity will be published on this page before commercial launch. For business customers, the courts of that jurisdiction have exclusive jurisdiction over any dispute arising out of or relating to these Terms. If you are a consumer, you also benefit from any mandatory protections and jurisdiction rules of your country of habitual residence.

20. Changes to the Software, Services, and Terms

We continuously improve the Software and the Services and may add, change, or remove features, provided this does not materially reduce the core functionality of a paid Subscription during its current term. We may update these Terms from time to time. For material changes, we will give at least 30 days' notice (for example by email or through the Panel) before the changes take effect. If you do not agree to the updated Terms, you may cancel your Subscription before they take effect; continued use after the effective date constitutes acceptance.

21. General provisions

  • Entire agreement. These Terms, together with the Privacy Policy and any written order or agreement between you and us, constitute the entire agreement regarding the Software and the Services and supersede prior discussions.
  • Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced by a valid one that most closely reflects its intent.
  • Waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.
  • Force majeure. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control.
  • Notices. We may provide notices by email to the address registered on your account or through the Panel.
